1. The Legal Dog LLC will decide to undertake a project submitted to it provided the user or the client represents that the client or user is a licensed United States attorney, qualified to practice law in the United States; that the client or user will independently exercise professional judgment in reviewing any legal products or services provided to the client by The Legal Dog LLC. The Legal Dog LLC is in no way in the business of practicing law or rendering legal advice, and no attorney-client relationship is formed between The Legal Dog LLC and client. The work product provided by The Legal Dog LLC does not constitute legal advice, nor does it substitute for legal advice. You may not assign your rights or delegate your obligations to The Legal Dog LLC. If you submit a question or any issue to be processed by The Legal Dog LLC in to any product or service, it is assumed that you are interested in soliciting or receiving or giving information rather than professional advice. Being a licensed US attorney in the appropriate jurisdiction, you agree to check the product of The Legal Dog LLC before its application. The Legal Dog LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES, REPRESENTATIONS AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN NO EVENT WILL The Legal Dog LLC, ITS OFFICERS, EMPLOYEES, AGENTS, SUBCONTRACTORS, AFFILIATES, SUBSIDIARIES, SUCCESSORS, ASSIGNS BE LIABLE TO ANY CLIENT OR ANY PARTY FOR ANY DIRECT , INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR OTHER INDIRECT (INCLUDING WITHOUT LIMITATION, COST OF COVER OF LOSS OF PROFITS OR LOSSES STEMMING FROM LOSS OF LEGAL REPUTATION, BAR STANDING) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR ANY SERVICES PROVIDED BY The Legal Dog LLC, CONTENT OR OTHER MATERIALS PROVIDED, OR REGARDLESS OF WHETHER SUCH DAMAGES AROSE IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHER LEGAL BASIS. THE TERM DAMAGES INCLUDE, WITHOUT LIMITATION ATTORNEY FEE, ANY LOST PROFITS, AND BUSINESS INTERRUPTION.
3. Limitation of Damages: The Legal Dog LLC’s total liability to Client for direct damages arising out of or relating to the services, products provided by The Legal Dog LLC, and this agreement will in no event exceed the total amount actually paid by client to The Legal Dog LLC under this agreement. The Legal Dog LLC is not liable for damages caused in any part by client’s negligence or intentional acts or for any claim against client or anyone else by any third party.
4. Unless stated otherwise the schedule of the payment shall be as follows: The client shall pay 75% fees due before commencement of project and the remainder or 25% fees due upon completion of the project. However the payments shall be made within (7) business day of the delivery of the services or the work product. No payments received will be refunded to the client in any circumstances. Late payments shall attract a premium of 1% interest above base rate per month for the period by which the payment is late, measured as days over 30, from the date the invoice was raised. Any part of the service which has been completed or part completed before receipt of the written cancellation shall be paid for by the client, including materials and all work in progress.
5. All materials contained on this site, www.thelegaldog.com (including, but not limited to text, content, photographs, video and audio) are protected by United States copyright law and may not be reproduced, distributed, modified, reused, transmitted, displayed, published, or broadcast without the prior written permission of the The Legal Dog LLC. You may not alter or remove any trademark, copyright or other notice from copies of the content. However, you may download material from The Legal Dog LLC for your personal, noncommercial use and you may download or print a single copy of any portion of the content on this site. You may not distribute any part of this service over any network, including a local area network, nor sell or offer it for sale. Further, the files and information contained on this site may not be used to construct any type of database.
6. The Legal Dog LLC may provide you with a valid ID (Identification name) and password for accessing any portion of the Site. You may not (i) select or use as a The Legal Dog LLC User ID a name of another person with the intent to impersonate that person; (ii) use as a The Legal Dog LLC User ID a name subject to any rights of a person other than you without appropriate authorization; or (iii) use as a The Legal Dog LLC User ID a name that is otherwise offensive, vulgar or obscene. The Legal Dog LLC reserves the right to refuse registration of, or cancel a The Legal Dog LLC User ID in its discretion for any reason whatsoever. You shall be responsible for maintaining the confidentiality of your The Legal Dog LLC password.
7. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida without giving effect to any choice or conflict of law provision (of that or any other jurisdiction) that would cause the application of laws of any jurisdiction other than the state of Florida. The courts of Broward County, State of Florida, USA shall have exclusive jurisdiction over any claim, action or proceeding relating directly or indirectly to this Agreement.” If any provisions of this Agreement are determined to be illegal or unenforceable, the remaining provisions shall nevertheless be binding, with the same force and effect as if the illegal or unenforceable parts were deleted.
